1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Nodulus ("we," "us" or "our"), concerning your access to and use of the Nodulus web application. You agree that by accessing the site, you have read, understood, and agree to be bound by all of these Terms of Service.

2. Intellectual Property Rights

Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

3. User Representations

By using the Site, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information; (3) you will not access the Site through automated or non-human means, whether through a bot, script or otherwise; (4) you will not use the Site for any illegal or unauthorized purpose.

4. User Uploaded Content

You retain full ownership of the documents, text, and materials you upload to Nodulus. By uploading content, you grant us a limited license to process and store these documents solely for the purpose of providing you with our core services (e.g., generating flashcards, summaries, and quizzes). You are responsible for ensuring you have the right to upload and process any materials you submit.

5. Prohibited Activities

You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

As a user of the Site, you agree not to:

• Systematically retrieve data or other content from the Site to create or compile a collection, compilation, database, or directory without written permission from us.
• Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
• Circumvent, disable, or otherwise interfere with security-related features of the Site.

6. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Site at any time or for any reason at our sole discretion without notice. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Site.

7. Governing Law

These terms shall be governed by and defined following the laws of our operating jurisdiction. We and yourself irrevocably consent that the courts of our operating jurisdiction shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
